WP Magik - Terms and Conditions

These Terms and Conditions ("Agreement") govern the services provided by WP Magik ("Company," "we," "us," or "our") to our clients ("Client" or "you"). By engaging our services, you agree to be bound by these terms.

1. Services

• WP Magik provides web design and development services as per the project scope agreed upon in the project proposal or quote.
• Services include, but are not limited to, website design, development, maintenance, and other related digital services.

2. Project Scope and Changes

• A detailed project scope, including requirements, timelines, and costs, will be outlined and agreed upon prior to project commencement.
• Any changes or additions to the project scope may incur additional charges and may affect project timelines. Changes will only proceed with written Client approval.

3. Client Responsibilities

• Content and Assets: The Client agrees to provide all necessary content, images, and other assets in a timely manner. Delays in providing materials may affect the delivery timeline.
• Approvals: The Client is responsible for providing timely feedback and approvals. Once approved, changes to completed work may result in additional charges.

4. Payment Terms

• A deposit of [50%] may be required before the project commences, with the remaining balance due upon project completion.
• Additional costs, such as domain registration, hosting fees, third-party software, or plugins, will be the Client's responsibility unless otherwise stated.
• Payments are due within [7 days] of invoicing. Late payments may incur interest charges of [10%] per month.

5. Ownership and Rights

• Website Ownership: Upon full payment, the Client will have ownership of the completed website and any custom content created as part of the project.
• Third-Party Licenses: WP Magik may use third-party software, images, or plugins under license, and these licenses may limit their usage or transferability. The Client will be responsible for any third-party licenses not included in the project cost.

6. Confidentiality

• Both parties agree to keep all project information, communications, and proprietary details confidential, except as required by law or with mutual consent.

7. Warranties and Limitation of Liability

• No Guarantee of Results: While we aim to deliver a high-quality website, WP Magik does not guarantee any specific results, such as increased traffic or improved search engine rankings.
• Limitation of Liability: WP Magik shall not be liable for any direct, indirect, or consequential damages arising from the project. In no event shall our liability exceed the total project fees paid by the Client.

8. Termination

• Either party may terminate this Agreement with written notice if the other party breaches a material term and fails to remedy it within [30 days].
• If the Client terminates the project before completion, WP Magik reserves the right to retain the deposit and bill for work completed up to the termination date.

9. Maintenance and Support

• Post-launch maintenance, updates, and support are not included in the initial project unless explicitly stated. WP Magik offers maintenance packages available at an additional cost.

10. Indemnification

• The Client agrees to indemnify and hold harmless WP Magik, its employees, and subcontractors from any and all claims, liabilities, damages, or expenses arising out of the Client’s use of the completed website or services.

11. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of Tennessee, without regard to its conflict of law provisions.

12. Entire Agreement

• This Agreement constitutes the entire understanding between WP Magik and the Client regarding the project and supersedes all prior or contemporaneous agreements. Any changes or modifications must be made in writing and signed by both parties.
